Groundbreaking Victory in the Supreme Court!

So proud to have been involved in the case working alongside such a brilliant team and to have won such a significant case on accessory liability concerning directors for strict liability torts.

On first meeting Kashif and Bushra Ahmed I could see the unfairness of the situation they found themselves in. They ran a small family business trading as the “Juice Corporation” under two limited companies. As directors and employees they found themselves personally liable as accessories for causing the company to commit a tort of strict liability. This was despite the fact that they had no improper motive and acted on advice in terms of the design of their logo. The Ahmeds did not know or appreciate that there was a likelihood of confusion over the designs. Lifestyle sought to recover from them not damages suffered but rather an account of profits. As to that account, Lifestyle sought that they account for profits made by the company, payment of lawfully earnt salary on a gross basis and repayment of a loan. As a small family company the litigation took its toll emotionally and financially.

I felt that the law was wrong, should a director be liable in such circumstances?

The Supreme Court has now clarified the law taking matters back to first principles. To be liable as an accessory for procuring a tort or acting in common design which brings about a civil wrong, you must know the essential facts which make the act unlawful. Knowledge is relevant. For the Ahmeds the Supreme Court found that there was room for argument and an honest difference of opinion about the extent of the similarity and likelihood of confusion. The Ahmeds were unaware of Lifestyles trademark. The Ahmeds had not deliberately intended to take advantage of Lifestyle’s mark. The Court below were wrong to order the account of profit. To order an account of profits made by another would not be requiring someone to account for their profits but would rather be “a penalty or fine”. Salary was not a profit nor was the loan.

This victory not only brings relief to the Ahmeds but also sets a precedent for fairer treatment of directors in similar situations.
