The article examines how securitization – one of the most "vanilla" financial instruments in the region – has become critical to the booming consumer and small-business finance industries in Egypt, Saudi Arabia, and the UAE, with Egypt home to the deepest and most sophisticated market for securitized debt.

The transaction represents a significant milestone for MNT-Halan, Egypt and MENA’s first fintech unicorn, and further reinforces its position as one of the region’s leading fintech and non-bank financial services platforms. Following the transaction, MNT-Halan’s valuation has reached USD 1.4 billion, reflecting strong investor confidence in the company’s growth strategy, market leadership, and regional expansion ambitions.

The investment highlights the growing collaboration between traditional financial institutions and fintech-driven financial ecosystems, while supporting the continued development of financial inclusion and digital financial services across Egypt and the wider region. MNT-Halan intends to utilize the proceeds of the transaction to further expand its operations in Egypt and support its ongoing regional growth plans.

We are pleased to announce that Matouk Bassiouny & Hennawy (“MBH”) acted as legal counsel to Mr. Ayman Aouf, founder and CEO of Travel Aspect, in connection with obtaining the exclusive operational rights in Egypt from BRUSECO, a leading European mobility and chauffeur training and certification company.

BRUSECO, represented by Mr. Paul Brussaard, specializes in executive chauffeur training and related driving professions and operates across the Netherlands, Germany, Belgium, Austria, and Switzerland. The company works alongside internationally recognized certification bodies, including DEKRA and CCV, to provide professional training and certification programs for chauffeurs and mobility professionals.

The transaction marks an important milestone for Aspect Chauffeurs and represents a significant step towards introducing internationally recognized executive chauffeur training and certification standards to the Egyptian market.

MBH advised the client throughout the transaction, including liaising between the parties, drafting and negotiating the franchise agreement, and advising on the establishment of the company that will hold and operate the BRUSECO license in Egypt.

Our team recently secured a favorable settlement for our client in connection with eight high-stakes commodity arbitration disputes under the auspices of the Federation of Oils, Seeds and Fats Associations (“FOSFA”).

The disputes involved a range of complex contractual issues—including quality and conformity of supplied commodities, compliance with specifications, fulfillment of deliverables, and delays in shipment and delivery. Our client, a notable player in the global trading industry, faced off against one of the world’s key suppliers, as well as a top-ranked international law firm specializing in commodity disputes.

The eight cases spanned multiple jurisdictions—Malaysia, Russia, the UAE, and Egypt—and centered around significant commodity values: valued at over USD 65 million.

Through a collaborative and strategy-driven approach, MBH successfully resolved all eight disputes while prioritizing our client’s commercial interests, safeguarding their legal rights, and ensuring uninterrupted business operations.

Matouk Bassiouny & Hennawy is pleased to announce a significant arbitration victory before The Cairo Regional Centre for International Commercial Arbitration (CRCICA) in a dispute involving four major tourism and resort development projects on Egypt's Red Sea coast.

Our client, a leading tourism developer, commenced arbitration proceedings before CRCICA after the Respondents failed to fulfil their contractual obligations, seeking rescission of the agreements and the return of the project lands. The tribunal ruled entirely in our client's favour, granting full rescission of all four project agreements, ordering the return of the project lands, and dismissing all counterclaims, including a USD 15 million damages claim.

The matter was handled by Dr. Amr A. Abbas (Partner & Head of Arbitration), Dr. Mohamed Samy (Partner), Hesham El Wakeel (Senior Associate), and Adham Ahmed (Associate).

Matouk Bassiouny & Hennawy (“MBH”) is proud to announce a significant achievement by its Litigation team, successfully securing a landmark victory in a complex cross-border criminal dispute involving asset exposure exceeding EGP 1 billion.

MBH represented one of Lebanon’s most prominent families in a multi-jurisdictional matter arising from a series of fraudulent transactions targeting extensive landholdings across Lebanon, Egypt, and Jordan. Investigations uncovered a sophisticated scheme involving the forgery of multiple powers of attorney, which were unlawfully used to facilitate the sale and disposal of key real estate assets in both Egypt and Lebanon.

MBH was engaged at a critical stage of the dispute and promptly undertook a comprehensive legal and factual assessment. Upon identifying strong evidence of criminal conduct, our team initiated coordinated legal action, including the filing of criminal complaints and the submission of extensive evidentiary records before the Public Prosecution.

Over a two-year period, MBH’s team led all aspects of the proceedings before the Public Prosecution, including drafting detailed submissions, attending investigative sessions, and solidifying legal arguments supported by documentary evidence. These efforts culminated in the successful referral of the principal perpetrator to trial before the competent Felony Criminal Court.

In a decisive outcome, the court issued its judgment convicting the defendant of forging official documents and unlawfully using them, sentencing him to 15 years of rigorous imprisonment.

This landmark judgment underscores MBH’s capability to navigate complex, high-stakes criminal matters across multiple jurisdictions. It represents a decisive victory for the client, securing substantial assets and reinforcing the rule of law against sophisticated fraudulent schemes.
