Costa Rica Companies Now Need an Official Email Address

If you own a Costa Rican corporation or LLC, there is an important new corporate compliance requirement you should know about.

Costa Rica’s Commercial Code was amended to require companies to register an official email address with the National Registry. For existing companies, the current deadline to comply is December 31, 2026.

Why does this matter?

This is not simply a contact email.

The registered address functions as an official electronic address for the company, particularly for receiving certain judicial and administrative notifications.

This means that important legal communications may be sent to this address and can potentially trigger deadlines to respond, appear in proceedings, file objections or exercise other legal rights.

For foreign owners who spend only part of the year in Costa Rica—or manage their Costa Rican companies from abroad—this makes proper monitoring of the registered email particularly important.

How can the email be registered?

The National Registry now provides the ACE electronic system, allowing a company’s registered legal representative to register or update the email directly, but only when that person holds a valid Costa Rican digital signature.

If the company’s representatives do not have a Costa Rican digital signature, other legal and notarial solutions are available. We can help you register your company’s email.

Don’t leave your company unattended

Guanacaste Law can assist foreign company owners with registering the required email address and, more broadly, with keeping their Costa Rican companies in good standing and up to date with corporate, registry and compliance requirements.

Buying an existing business in Costa Rica? Look beyond the asking price.

Many small businesses lack complete, well-organized financial statements. But other records can help you assess whether a running business is worth investing in:

✅ Bank account statements
✅ Credit card payment reports
✅ Bookings and reservation history
✅ Referral records from hotels and other partners
✅ Tax returns and operating expense records

Reviewed together, these can help reveal actual revenue, customer demand, seasonality and profitability. Sales alone do not tell the whole story—expenses matter too.

At Guanacaste Law, we help you evaluate the purchase through a legal review of the business structure, ownership, contracts, permits and potential liabilities. Together with a financial assessment, this helps you understand what you are buying and whether the deal makes sense.

Thinking of buying a business in Costa Rica? Contact us before you commit.

COSTA RICA PROPOSES 15% TAX ON CERTAIN FOREIGN-SOURCE INCOME.
Guanacaste Law | Legal Update | 24 September 2026
---

On 22 September 2026, the Government of Costa Rica submitted Bill No. 25,796 to Congress. The bill would expand Costa Rican taxation, currently governed by the territoriality principle, of certain passive income earned abroad by persons and entities resident in Costa Rica. It is a legislative proposal and has not yet become law, but which may call for preventive restructuring by certain foreign investors.
The proposed rate is 15%. The income within its stated scope includes foreign-source dividends, interest, royalties, rental income and capital gains. The bill would potentially apply to resident individuals and companies, as well as trusts, investment funds and other resident structures.

WHY IS THIS BEING PROPOSED?
The initiative follows years of scrutiny of Costa Rica’s treatment of foreign-source income, notably by the European Union. It also reflects the wider pressure on jurisdictions to align their tax rules with international standards, including those promoted through the OECD. This is also a regional, rather than national trend. Panama has also approved legislation addressing certain foreign passive income which also applies a 15% rate in specified circumstances.

In the case of Costa Rica, the Government’s proposal does not establish a general worldwide-income tax: Costa Rica’s territorial principle would remain the general rule, although with a broader exception for specified foreign passive income.

TREATEMENT OF TAX PAID ABROAD
The bill seeks to address double taxation, but the proposed mechanism warrants careful reading. As filed, it appears to allow comparable tax paid or withheld abroad to be deducted from the gross foreign income before the Costa Rican tax is calculated. That differs from a direct credit against the Costa Rican tax payable and may produce a different financial result. This provision should be reviewed again if the bill is amended.

WHAT SHOULD FOREIGN-INVESTORS CONSIDER NOW?
Individuals and businesses with foreign investments, holding companies, rental properties or other assets producing income outside Costa Rica may wish to review their ownership arrangements and tax residence position.

Guanacaste Law will monitor Bill No. 25,796 as it advances. If you need tax advice or assistance restructuring your business or assets, contact us at [email protected], +506 6040-8395 or +506 8588-9292.
