How to draft a business(purchase) contact ?
As a lawyer in China, I would advise my client to prepare a business /purchase contract in accordance with Chinese law, specifically the Contract Law of the People's Republic of China. Here's a step-by-step guide:
1. Clearly define the parties involved: Specify the buyer (my client) and the seller, including their names, addresses, and identification numbers.
2. Describe the subject matter: Precisely describe the goods or property being purchased, including quantity, quality, and specifications.
3. Agree on the price: State the purchase price and payment terms, including method, currency, and timeline.
4. Outline delivery and acceptance: Specify the delivery date, location, and acceptance criteria.
5. Address quality and warranty: Include warranties, guarantees, and liability for defects or non-conformance.
6. Establish dispute resolution: Choose a dispute resolution method, such as arbitration or litigation, and specify the governing law and jurisdiction.
7. Sign and date the contract: Both parties must sign and date the contract, with witnesses if necessary.
8. Register the contract (if required): Depending on the type of property or transaction, registration with relevant authorities may be necessary.
It's essential to note that Chinese law requires contracts to be in writing, signed, and stamped with the company chop (if applicable) to be valid. Additionally, certain transactions may require government approval or registration.
