On a day like today, with the Rogers wireless and internet network experiencing nation-wide outages, let's be reminded of the reality that, in effect, only three large carriers operate in Canada. Many are aware of, and have criticized, the ownership requirements present in the Telecommunications Act that preserve the telecommunications oligopoly in Canada; fewer are aware of the legacy of the Railway Act in having created, and entrenching, that oligopoly in the name of "nation building". I wrote a paper about it back in my third year of law school (see the link) - if these outages aren't making your blood boil, this just might.

** The "Half-Baked" Incorporation **

Something I've come across all too often in my travels is what I'd deem the "half-baked" incorporation: a company, be it a BC company or a federally-incorporated one, for which the incorporator has completed the first part of an incorporation process -- creating the legal entity -- but forgets about, or simply doesn't know about, the second part -- completing, executing, and assembling all of a corporation's "constating documents" into a corporate minute book. While it's often an afterthought, the Business Corporations Act (and Canada Business Corporations Act) requires that certain records are maintained and kept up to date in one place: all of your company's resolutions, central securities register(s), and transparency register, just to name a few. These items need to be made available for inspection and copying, and be kept at a physical address, during regular business hours.

An excellent article by Tim Ingham detailing how and why Kate Bush's "Running Up That Hill (A Deal With God)", despite being the most popular track in the world by a country mile, ended up at No. 2 on the UK Singles Charts last week.

In short: the game is rigged. Because "Running Up That Hill" already had a crack at the singles chart - 37 years ago - it's streams count for *half* of that of a new entry. The music industry doesn't seem to recognize that the song is *totally new* to a very large audience.

Kate Bush has been robbed in her home nation. The music industry must learn lessons from what it says.
