A graduate of New England Law | Boston, Jim began his legal career with Howell Fleming LLP in Peterborough in 2009 before joining LLF Lawyers in 2012. He became a Partner of the firm in 2019.

The October 2026 ONCA Deadline: What Share Capital Social Clubs Need to Know
August 20, 2026.
Ontario social clubs that were incorporated with share capital under the Corporations Act, such as golf clubs and curling clubs, were given five years from ONCA's proclamation on October 19, 2021 to choose a new structure. That window closes on October 19, 2026, and clubs that have not continued under a different statute by then will be automatically dissolved.

The Deadline
Under section 2.1 of the Corporations Act (Ontario), a share capital social club must pass a special resolution to continue as a corporation without share capital under the Not-for-Profit Corporations Act, 2010, as a co-operative under the Co-operative Corporations Act, or as a share capital corporation under the Business Corporations Act (Ontario), no later than October 19, 2026.
A club that takes no action is automatically dissolved the day after the deadline. A dissolved club has up to 20 years to complete the continuance, but only for that limited purpose, not to resume business as usual in the meantime.
A Simplified Process
Since December 2023, the Less Red Tape, More Common Sense Act, 2023 has allowed all shareholders entitled to vote to approve the continuance together, removing a prior requirement for separate class votes.
