Why your "Bottom Line" is lying to you about your business's value.

Most business owners look at their tax returns and see a number they’ve worked hard to keep low for tax reasons. But when it’s time to sell, that "low" number becomes your worst enemy.

In the world of professional business brokerage, we don't just look at net profit. We look at SDE (Seller’s Discretionary Earnings) and Normalized EBITDA.

Why? Because your business pays for a lot of things that a new owner won't necessarily have to. To get to your true valuation, we have to "re-cast" your financials:

✅ Salary Adjustments: Is your current salary above or below market rate for a manager? We normalize that.
✅ One-Time Expenses: That website redesign or the new roof you put on last year? That shouldn't penalize your valuation today.
✅ Discretionary Perks: The company car, the family cell phone plan, the travel? We add those back to show the true cash-flow power of the business.

The Reality Check: Forget the "10x multiples" you hear about in the news. For most successful private companies, the multiple is much more grounded. But a lower multiple on a properly normalized, higher SDE usually results in a much bigger check at closing than a "high multiple" on a messy tax return.

Most business owners I talk to have a "plan" in their head, but often that plan is based on a few common misconceptions. If you want to maximize your value and actually cross the finish line, let's clear the air:

1️⃣ Myth: "My business is worth X because I need that much to retire." Reality: The market doesn’t care about your retirement goals. It cares about cash flow, risk, and systems. Pricing correctly from day one is the fastest way to get a deal done.

2️⃣ Myth: "I can wait until I'm ready to retire to start the process." Reality: The best time to sell is when your business is thriving, not when you're burnt out. Prep should ideally start 1–2 years before you actually want to leave.

3️⃣ Myth: "I’ll just sell it to my best employee/competitor myself." Reality: Doing it alone often leads to "deal fatigue" or sensitive information leaking to the wrong people. A broker acts as a buffer to keep the process confidential and competitive.

The takeaway? Even if you aren't selling for 5 years, knowing the "why" behind business value helps you make better decisions today.
