LANDMARK LISTING: OTLAADISA LAW ACTS AS LEGAL ADVISOR IN THE LISTING OF AN ACTIVELY MANAGED ETF

Otlaadisa Law feels honoured to have acted as legal advisor in a transaction culminating in the successful listing of the Vunani Global Equity Prescient Feeder Actively Managed ETF on the Botswana Stock Exchange. On 2 December 2025, our corporate team led by our Founder Onalenna Otlaadisa Diloro joined the issuer, fellow advisors, regulators and market participants at the Opening Bell Ceremony, marking the ETF’s admission to the market.

This listing is a groundbreaking development for Botswana’s capital markets. It introduces the market’s first actively managed global-equity ETF and broadens the spectrum of regulated investment products available to institutional and retail investors.

Pupil

Dindi is a pupil attorney, having joined the firm in July 2022. She holds a Bachelor of Laws from the University of Botswana and was admitted to practice in the courts of Botswana in December 2022. Associate

Watipa obtained a Bachelor of Laws from the University of Botswana and is an associate attorney who has been with the Firm since its inception in 2021. She has experience advising clients in commercial litigation, general corporate commercial law, corporate governance, employment law and regulatory compliance. Watipa has undertaken due diligence exercises and advised on various aspects of the Companies Act, the Mines and Minerals Act and the Competition Act, amongst others.

ANDILE MTHUPHA
Senior Associate

Andile is a graduate of York University - Osgoode Hall in Canada (LLM, 2017) and of the University of Botswana (LLB, 2016). He is an admitted attorney with experience representing and advising clients in diverse areas of the law. Andile’s experience includes assisting clients in complex litigation matters, corporate and commercial advisory work, regulatory advisory and compliance, capital markets and transactional advisory. He joined the firm in 2022 and has been active in litigation matters and corporate and commercial advisory. This includes legal due diligence exercises, liquidation proceedings, regulatory compliance and advisory, land and mineral rights, establishment of corporate entities in Botswana, registration of trusts and drafting of trust instruments, data protection and competition law.

ONALENNA OTLAADISA DILORO
Founder

Onalenna Otlaadisa Diloro is a seasoned attorney with over 14 years' post-qualification experience in corporate and commercial law. She was previously a partner at a leading Botswana corporate and commercial firm, Bookbinder Business Law.

Onalenna’s broad corporate and commercial expertise includes insolvency and restructuring, banking and finance, commercial dispute resolution, capital markets, mergers and acquisitions, regulatory and general corporate commercial work. She has previously served as a legal advisor at a leading bank, in addition to her international corporate commercial law experience which she obtained whilst on secondment in the corporate department of Slaughter and May (London office). In addition to her commercial law expertise, Onalenna is a governance specialist, advising large and medium sized entities on corporate governance issues including director’s duties, integrated reporting, advisory work for committees and training for management and boards. She currently serves as an Independent Non-Executive Director on boards of both public and private entities.

She holds a Master of Laws (LLM) in Commercial and Corporate Law from Queen Mary University of London and a Bachelor of Laws (LLB) degree from the University of Botswana.

Onalenna has consistently been ranked by Chambers Global as a business lawyer with specific strength in insolvency and restructuring and corporate finance. She is also ranked by Global Law Experts as a leading insolvency and restructuring practitioner in Botswana.
