BOYANOV & Co. Advised the Sell-Side on the Sale of Silver Star to Inchcape

BOYANOV & Co. acted as the Bulgarian legal counsel to the seller in connection with the sale of Silver Star, the official distributor of Mercedes-Benz passenger vehicles and Daimler trucks and buses in Bulgaria, to Inchcape plc, a leading global automotive distributor. The transaction, one of the most significant deals in Bulgaria’s fast-growing automotive retail sector in 2026, was announced on 22 May 2026 and completed on 1 July 2026.

The firm provided comprehensive Bulgarian law support to the seller throughout the transaction, including legal due diligence support, support with the drafting of the transaction documents, and full legal assistance through signing and completion.

BOYANOV & Co. also advised on the regulatory approvals required for the transaction, including merger control clearance from the European Commission and the applicable foreign direct investment screening process.

The BOYANOV & Co. team was led by partners Nikolay Zisov and Peter Petrov and included senior associates Teodora Atanasova, Nedyalka Novakova and Adriana Bakalova, as well as associate Deyvid Iliev.

The completion of the sale marks the successful conclusion of a relationship spanning the full life cycle of the investment. BOYANOV & Co. advised Silver Star Group from its entry into the Bulgarian market in 2017 through to its successful exit in 2026.

BOYANOV & Co. Partner Nikolay Zisov Comments in CEELM’ May 2026 Debrief on How Bulgaria Begins Enforcing NIS2 Cybersecurity Rules and Why Bulgaria’s AI Act Timeline Shifts

Nikolay Zisov, Partner and Head, TMT Practice, BOYANOV & Co. has provided an update on key legal and regulatory developments in Bulgaria’s TMT sector in the latest edition of The Debrief by CEE Legal Matters.

Nikolay Zisov notes that Bulgaria’s TMT sector has recently been shaped by stronger cybersecurity enforcement, the implementation of the Digital Services Act, and evolving AI regulation. The amended Cybersecurity Act, which entered into force in February 2026, expands the scope of regulated sectors, introduces board-level accountability, and imposes stricter incident-reporting and penalty requirements. Meanwhile, Bulgaria has designated the Communications Regulation Commission as the national Digital Services Coordinator, with the first enforcement actions under the new framework expected to attract significant attention.

Zisov also highlights important changes to the EU AI Act timeline following the May 2026 AI Omnibus agreement. Compliance deadlines for certain AI systems have been extended to 2027 and 2028, providing organizations with additional preparation time. However, he emphasizes that core obligations remain unchanged and warns that Bulgaria’s pending national AI legislation could introduce additional local enforcement requirements that may not align with the revised EU timetable.
