Bridging Bulgaria and Indonesia: BOYANOV & Co. and the Embassy of Indonesia in Sofia Unite Leaders in Digital Technologies, AI and Cybersecurity

Marking the 70th anniversary of diplomatic relations between Bulgaria and Indonesia, BOYANOV & Co. and the Embassy of the Republic of Indonesia in Sofia co-hosted a landmark webinar bringing together diplomats, regulators and business leaders to explore new frontiers in digital technologies, especially fintech in their relations with artificial intelligence and cybersecurity cooperation between the two nations.

The hybrid event — combining in-person attendance in Sofia with speakers joining live from Indonesia — opened with remarks from Borislav Boyanov, Managing Partner of BOYANOV & Co. by noting that the two countries face similar challenges in the area of digital technologies. Ambassador Listiana Operananta described Indonesia’s rapid growth in fintech and digital finance and its interest in the regulatory experience of Bulgaria and the EU.

Regulators from both sides presented their digital transformation plans and fintech developments. Business representatives spoke about market opportunities, digital infrastructure and the barriers to wider AI adoption. Speakers also floated ideas for practical cooperation.

Closing the event, Ambassador Operananta and Mr. Dobrev reaffirmed their embassies’ commitment to deepening cooperation, while Borislav Boyanov confirmed BOYANOV & Co.’s continued role in building the partnership between Bulgarian and Indonesian companies in the field of digital technologies forward.

BOYANOV & Co. Partner Nikolay Zisov Authors CEE Legal Matters Snapshot on Bulgaria’s TMT Market

BOYANOV & Co. is pleased to announce that Partner Nikolay Zisov has contributed to A Snapshot on Bulgaria’s TMT Market of Issue 13.8 of CEE Legal Matters (CEELM) magazine.

In this article, Partner Nikolay Zisov explained that Bulgaria’s TMT market is small by European standards, but well-developed, bolstered by euro zone entry on January 1, 2026, and strong digital infrastructure (94% fiber coverage, 95% 5G coverage: both above EU averages), though digital skills and SME tech adoption still lag. The mobile telecommunications market continues to be served by A1 Bulgaria, Vivacom, and Yettel Bulgaria, with potential ownership changes looming for Vivacom’s parent (United Group) and Nova Broadcasting Group, where Newsmax is reportedly the leading bidder. The tech sector is strongly export-oriented, with software revenue of roughly EUR 5.6 billion in 2025 (87% earned abroad). Bulgaria is also investing in AI infrastructure through the EUR 90 million BRAIN++, Bulgaria’s EU-backed AI factory, a project currently being developed at Sofia Tech Park.

On the regulatory side, new NIS2-based cybersecurity rules took effect in February 2026 with no grace period, significantly expanding compliance obligations and personal liability for senior management. The Digital Services Act enforcement framework is now in place, but implementation of the EU AI Act and the national Digital Identity Wallet remain behind schedule, with the wallet’s end-2026 deadline in doubt. Politically, Bulgaria’s first single-party parliamentary majority since 1997 (seated May 2026) is expected to speed up adoption of pending legislation. Overall, 2026 is shaping up as a year of implementation challenges for businesses and a potential turning point for ownership of major telecom and media assets. In 2026, the market outlook is more predictable than it has been in years.

BOYANOV & Co. advises the lenders on a EUR 490 million refinancing of Huvepharma

BOYANOV & Co. has acted as Bulgarian counsel to the lenders on the refinancing of Huvepharma, a leading global pharmaceutical company headquartered in Sofia focused on human and animal healthcare.

The refinancing closed on 29 September 2026 and secures the group’s syndicated facility for the next seven years.

The syndicate included UniCredit Bulbank AD, United Bulgarian Bank AD, DSK Bank AD, Eurobank Bulgaria AD, ING Bank NV – Sofia Branch, BNP Paribas S.A. – Sofia Branch, KBC Bank NV, and Citibank Europe Plc, Bulgaria Branch, with Citibank Europe Plc, UK Branch acting as facility agent and Citibank N.A., London Branch acting as security agent.

BOYANOV & Co. advised the lenders on all Bulgarian law aspects of the transaction. That covered the finance documents, the Bulgarian security package, the related regulatory requirements, corporate approvals, and the Bulgarian law legal opinions.

In connection with the refinancing we advised the European Investment Bank on related amendments to its separate EUR 130 million loan to Biovet, a material manufacturing subsidiary of the Huvepharma group in Bulgaria.

BOYANOV & Co. Advises on Schneider Electric’s EUR 1.2 Billion Acquisition of Bulgaria’s Shelly Group

French global energy technology group Schneider Electric announced today that it has reached an agreement with Shelly Group and the company’s two founding shareholders, Dimitar Dimitrov and Svetlin Todorov, to acquire the Bulgarian IoT and smart-building solutions provider in serries of transactions, involving a voluntary tender offer, valued overall at EUR 1.2 billion. It is reported to be the largest private deal in Bulgaria ever.

BOYANOV & Co. is acting as lead legal counsel on corporate matters for Schneider Electric alongside French firm Bredin Prat, underscoring the firm’s continued role in advising on major innovative cross-border M&A transactions involving Bulgarian companies. Deutsche Bank AG is acting as sole financial advisor to Schneider Electric, while UniCredit Bulbank AD is serving as the Bulgarian licensed investment intermediary on the tender offer.

The tender offer will be filed with the Bulgarian Financial Supervision Commission (FSC), with its full terms to be published once regulatory review is complete. Successful completion is conditional on Schneider Electric acquiring more than 95% of Shelly’s share capital, enabling a subsequent squeeze-out of remaining shareholders and delisting from the public companies register. The transaction, subject to customary regulatory approvals, is expected to close by Q1 2027.

BOYANOV & Co. advised Eurobank S.A., Eurobank Private Bank Luxembourg S.A. and Eurobank Bulgaria AD on the Bulgarian law aspects of a top-up financing and a partial refinancing transactions involving two shopping centers in Burgas and Stara Zagora, owned by MAS Property Holding S.R.L., a subsidiary of MAS Plc.

This is in connection with the sale of one of the shopping centers, Galleria Burgas, to Balkan Retail N.V., a subsidiary of Hyprop Investments Ltd., a specialized retail real estate investment trust.

BOYANOV & Co. Advised the Sell-Side on the Sale of Silver Star to Inchcape

BOYANOV & Co. acted as the Bulgarian legal counsel to the seller in connection with the sale of Silver Star, the official distributor of Mercedes-Benz passenger vehicles and Daimler trucks and buses in Bulgaria, to Inchcape plc, a leading global automotive distributor. The transaction, one of the most significant deals in Bulgaria’s fast-growing automotive retail sector in 2026, was announced on 22 May 2026 and completed on 1 July 2026.

The firm provided comprehensive Bulgarian law support to the seller throughout the transaction, including legal due diligence support, support with the drafting of the transaction documents, and full legal assistance through signing and completion.

BOYANOV & Co. also advised on the regulatory approvals required for the transaction, including merger control clearance from the European Commission and the applicable foreign direct investment screening process.
