শুধু LC Payment Terms ঠিকমতো না বোঝার কারণে একটি Power Generation কোম্পানি- পুরাতন মেশিন আমদানি করে শেষ পর্যন্ত ২০ কোটি টাকা গচ্চা দিয়েছিল।
💼 LC Payment Terms
⏳ সময়ে টাকা পাওয়া… নাকি অনির্দিষ্ট অপেক্ষা?
— পার্থক্যটা তৈরি করে শুধু এক জায়গা: Payment Terms
অনেকেই বলেন,
👉 “LC খুলেছি, পেমেন্ট তো সেফ।”
দুঃখজনক সত্য হলো-
❌ LC নিজে থেকে আপনাকে সুরক্ষা দেয় না।
✔ সুরক্ষা দেয় কেবল LC-এর Payment Terms।
আমার অভিজ্ঞতায় দেখেছি,
বেশিরভাগ LC সমস্যাই ডকুমেন্টেশনের নয়,
সমস্যা হয় ভুল বা অস্পষ্ট পেমেন্ট টার্মসের কারণে।
🔑 Golden Rule (ভুলবেন না)
📌 যদি পেমেন্ট কখন শুরু হবে- এই সিদ্ধান্ত Buyer-এর হাতে থাকে, তাহলে সেই LC Seller-এর জন্য নিরাপদ নয়।
কারণ খুব সহজ:
🏦 ব্যাংক ডকুমেন্ট দেখে টাকা দেয়,
❌ Buyer-এর “ভালো লাগা” বা “acceptance” দেখে নয়।
✅ Seller-এর জন্য সবচেয়ে নিরাপদ Payment Terms
যেগুলো সত্যিকার অর্থে ক্যাশ-ফ্লো নিশ্চিত করে:
* At Sight LC
— সঠিক ডকুমেন্ট দিলেই পেমেন্ট
* Deferred Payment (Fixed Trigger সহ)
— যেমন: Bill of Lading তারিখ থেকে 90 দিন
* Usance LC (Bank acceptance / confirmation সহ)
— Buyer risk নয়, Bank credit কাজ করে
👉 এগুলোর সুবিধা একটাই:
✔ তারিখ আগেই হিসাব করা যায়
✔ Buyer চাইলে দেরি করাতে পারে না
✔ Treasury শান্তিতে cash forecast করতে পারে
⚠️ যে Payment Terms দেখলে সতর্ক হবেন
দেখতে স্বাভাবিক, কিন্তু ভেতরে ঝুঁকি:
❌ 90 days after acceptance
(acceptance কার? Buyer-এর!)
❌ Payment subject to buyer approval
(LC কার্যত Open Account হয়ে যায়)
❌ Payment after delivery / project completion
(ব্যাংক ডেলিভারি যাচাই করে না)
❌ Deferred payment কিন্তু tenor লেখা নেই
(মানে পেমেন্ট কবে—কেউ জানে না)
🤝 Buyer বনাম Seller বাস্তবতা
যেটা Buyer-এর জন্য সুবিধা, সেটাই প্রায়শই Seller-এর জন্য ঝুঁকি।
Buyer চায়:
* Acceptance-এর পর পেমেন্ট
* Inspection approval
* Long usance
* Unconfirmed LC
Seller-এর প্রয়োজন:
* At sight বা fixed usance
* BL/Presentation থেকে গণনা
* Confirmed LC
👉 তাই মনে রাখুন:
LC Negotiation আসলে Cash-flow Negotiation।
⚖️ একটি Balanced, Treasury-approved Term
“This Letter of Credit is available by deferred payment at 90 days from the Bill of Lading date against presentation of compliant documents.”
✔ Seller পায় নিশ্চিত তারিখ
✔ Buyer পায় সময়
✔ Bank নিয়ন্ত্রণে থাকে পেমেন্ট
✔ Treasury সহজে পরিকল্পনা করতে পারে
📌 শেষ কথা (Practical Advice)
কখনোই এমন LC গ্রহণ করবেন না যেখানে—
* পেমেন্ট তারিখ Day-1 এ হিসাব করা যায় না
* Buyer ঠিক করে দেয় কবে থেকে পেমেন্ট শুরু হবে
কারণ সত্যটা খুব পরিষ্কার:
👉 LC আপনাকে রক্ষা করে না—
সঠিক Payment Terms-ই আপনাকে রক্ষা করে।
🔁 পোস্টটি সেভ করে রাখুন বা শেয়ার করুন-
পরের LC negotiation-এ এটা আপনাকে বাস্তব টাকা বাঁচাতে পারে।
