একজন উদ্যোক্তা যখন প্রাইভেট লিমিটেড কোম্পানি তৈরি করার জন্য সিদ্ধান্ত গ্রহণ করেন তখন তাকে প্রথমেই নামের ছাড়পত্র জন্য আবেদন করতে হবে। কোম্পানি রেজিস্ট্রেশন বা নিবন্ধনের প্রথম ধাপ হলো নামের ছাড়পত্র। নতুন প্রতিষ্ঠানের নামের ছাড়পত্র (প্রযোজ্য ক্ষেত্রে) নিয়ে নিবন্ধনের জন্য প্রয়োজনীয় নথিপত্র ও ফি সহ নির্ধারিত আবেদন ফর্মের মাধ্যমে আবেদন করবেন। যদি পাবলিক বা প্রাইভেট লিমিটেড কোম্পানিভিত্তিতে ব্যবসা করবেন বলে সিদ্ধান্ত নেন, তখন রেজিস্ট্রার অব
জয়েন্ট স্টক কোম্পানিতে গিয়ে প্রথমে আপনার প্রতিষ্ঠানের নামের ছাড়পত্র নিতে হবে ।

কোম্পানির নামের ছাড়পত্র
ধাপ-১ রেজিস্ট্রার অব জয়েন্ট স্টক কোম্পানীজ এন্ড ফার্মস এর অফিসিয়াল ওয়েবসাইটের মাধ্যমে অনলাইনে নামের ছাড়পত্রের জন্য আবেদন করতে হবে।

ধাপ-২ নির্দিষ্ট ব্যাংকে নামের ছাড়পত্রের ফি জমা দিতে হবে ।

ধাপ-৩ নামের ছাড়পত্রের আবেদন এবং ফি প্রাপ্তি সাপেক্ষে রেজিষ্টার অব জয়েন্ট স্টক কোম্পানীজ এন্ড ফার্মস নতুন প্রতিষ্ঠানের নামের ছাড়পত্র প্রদান করবে (যদি এই নামে পূর্বে কোন ছাড়পত্র প্রদান না করা হয়ে থাকে)

ধাপ-৪ নামের ছাড়পত্র ইস্যুর তারিখ হতে ১৮০ দিন পর্যন্ত কার্যকর থাকে । এই সময়ের মধ্যে রেজিক্ট্রেশনের
জন্য আবেদন করতে হবে।

কোম্পানি নিবন্ধনের শর্ত
ধাপ-১ নামের ছাড়পত্র পাবার পর প্রয়োজনীয় কাগজপত্র, নির্ধারিত ফরম ও সিডিউল এবং প্রযোজ্য ফিসসহ রেজিস্ট্রেশনের জন্য আবেদন করবেন । এক্ষেত্রে-
(ক) মেমরান্ডাম ও আর্টিকেল অফ এ্যাসোসিয়েশন তৈরি করতে হবে
(খ) ওয়েবসাইটের মাধ্যমে রেজিস্ট্রেশনের জন্য আবেদন করতে হবে;
(গ) নির্দিষ্ট ব্যাংক রেজিষ্ট্রেশন ফি জমা দিতে হবে ।

ধাপ-২ রেজিস্ট্রার অব জয়েন্ট স্টক কোম্পানীজ এন্ড ফার্মস নিম্নের বিষয়াদির উপর সন্তুষ্টি সাপেক্ষে সার্টিফিকেট
অব ইনকরপোরেশন ইস্যু করে থাকে
(ক) প্রস্তাবিত নামের ছাড়পত্র প্রাপ্তিঃ
(খ) নির্দিষ্ট সময়ের মধ্যে রেজিস্ট্রেশনের জন্য আবেদন;
(গ) মেমোরেন্ডাম ও আর্টিক্যালস অব এসোসিয়েশন, নির্ধারিত ফরম, সিডিউল ইত্যাদি তৈরী এবং জমা:
(ঘ) আবেদন ফি জমা ।

আয়কর রিটার্ন : (২০২৩-২০২৪)

এ আয়কর রিটার্ন জমা দিতে আপনার যা যা ডকুমেন্টস প্রয়োজন: -

ক) ব্যক্তিগত তথ্য :
১. ই-টিন সার্টিফিকেট ফটোকপি
২. জাতীয় পরিচয়পত্রের ফটোকপি
৩. পাসপোর্ট সাইজ ফটো এক কপি।
৪. যারা রেগুলার রিটার্ন দেন তাদের বিগত বছরের আয়কর রিটার্ন এর ফটোকপি।

খ) চাকুরির তথ্য :
১. বেতন বিবরনী (অফিস কর্তৃক) (০১/০৭/২০২২ থেকে ৩০/০৬/২০২৩)
২. ব্যাংক বিবরনী (০১/০৭/২০২২ থেকে ৩০/০৬/২০২৩)
৩. উৎসে কর কর্তন সার্টিফিকেট
৪. প্রভিডেন্ট ফান্ড সার্টিফিকেট (যদি থাকে)

গ) গৃহ সম্পত্তি হতে আয় থাকলে:
১. বাড়ী ভাড়ার প্রাপ্ত রশিদ
২. বাড়ী ভাড়ার চুক্তিপত্র
৩. বাড়ী ভাড়া ব্যাংকে নিয়ে থাকলে ব্যাংক বিবরনী
৪. হোল্ডিং ট্যাক্স ও ভূমি কর / খাজনা।

ঘ) ব্যবসায়ের তথ্য:
১. ট্রেড লাইসেন্স
২. বার্ষিক ক্রয়-বিক্রয় ও আয় বিবরনী
৩. সম্পদ ও দ্বায় বিবরনী
৪. ব্যাংক বিবরনী (০১/০৭/২০২২ থেকে ৩০/০৬/২০২৩)

ঙ) বিনিয়োগের তথ্য:
১. ডিপিএস (যদি থাকে)
২. ইন্সুরেন্স সার্টিফিকেট (যদি থাকে).
৩. শেয়ার মার্কেট বিনিয়োগ (যদি থাকে)
৪. সঞ্চয় পত্র - (যদি থাকে)

চ) সম্পদ ও দায় বিবরনীঃ
১. হাউজ, এপার্টমেন্ট (যদি নিজ নামে থাকে)
২. জমি, গাড়ী, ফার্নিচার, ইলেক্ট্রনিকসস ইত্যাদি। (যদি নিজের নামে থাকে)
৩. ব্যাংক ঋনের তথ্য (যদি নিজ নামে হয়)
৪. অন্যান্য ঋনের তথ্য (যদি নিজ নামে হয়)।
