“When Duties Collide: Director Conflicts in Subsidiaries, JVs and Corporate Groups.”
This topic sits at an interesting intersection between corporate law, governance, commercial decision making and director risk.
We will look at the situations where things become complicated in practice:
How should a nominee director navigate competing expectations from an appointing shareholder?
When does a conflict need to be disclosed?
When can a conflicted director participate or vote?
What does the section 187 safe harbour actually protect, and where does it not apply?
How do related party transactions change the analysis?
What happens when a subsidiary is approaching insolvency?
And perhaps most importantly:
What should lawyers actually advise directors to do when the interests of the group and the interests of the company begin to diverge?
The session is designed to be practical rather than purely theoretical, with a focus on identifying conflicts early, managing them properly and creating a defensible governance record.
There will also be a live Q&A, which I am particularly looking forward to.
