❓ how are you adjusting with the new AML requirements ❓

In Australia, anti-money laundering (AML) obligations are expanding to include real estate professionals and conveyancers under the AML/CTF reforms. These changes are designed to prevent criminals from using property transactions to launder money.

For conveyancers and real estate agents, the key requirements will include:

* Customer Due Diligence (CDD): Verify the identity of clients before providing designated services. This includes identifying beneficial owners where companies or trusts are involved.
* Know Your Customer (KYC): Understand who your client is, the nature of the transaction, and assess the risk of money laundering or terrorism financing.
* Risk Assessment: Develop and maintain an AML/CTF risk assessment specific to your business, considering factors such as client types, services offered, delivery channels, and geographic risks.
* AML/CTF Program: Implement and maintain a documented AML/CTF compliance program that includes policies, procedures, staff training, and ongoing monitoring.
* Ongoing Customer Due Diligence: Monitor transactions and keep customer information up to date throughout the business relationship.
* Suspicious Matter Reports (SMRs): Report suspicious transactions or behaviour to AUSTRAC where there are reasonable grounds to suspect money laundering, terrorism financing, or other serious crimes.
* Record Keeping: Retain identification records, transaction records, and AML documentation for the required period (generally seven years).
* Staff Training: Ensure all employees understand their AML/CTF obligations and know how to identify and escalate suspicious activity.
* Independent Review: Periodically have your AML/CTF program independently reviewed to ensure it remains effective.

📌 Conveyancers

Conveyancers will need to:

* Verify the identity of clients and beneficial owners.
* Assess the purpose and legitimacy of the property transaction.
* Identify higher-risk clients, such as those using complex trusts, overseas entities, or politically exposed persons (PEPs).
* Maintain records and report suspicious matters where required.

📌 Real estate agents

Real estate agents will need to:

* Verify buyers and sellers.
* Conduct risk assessments for transactions.
* Monitor for unusual payment methods (e.g. large cash deposits, complex ownership structures, third-party payments without a clear explanation).
* Report suspicious matters to AUSTRAC.

The earlier the better. You don’t need to wait until you are ready to sign a contract and it makes sense to select your conveyancer as soon as you decide to buy or sell.

We recommend you don’t sign anything before you’ve asked for your conveyancer’s advice – it is always better to be safe than sorry.

🏘️ WHAT IS CONVEYANCING?

Conveyancing is the legal process of transferring the ownership of property from one person to another.

The conveyancing process typically involves several stages, including:

🏠 Initial contract: The buyer and seller agree on the terms of the sale, including the price and any conditions that need to be met before the sale can be completed.

🏠 Due diligence: The buyer's conveyancer conducts a legal review of the property to ensure that there are no outstanding issues that would prevent the sale from going ahead. This might include checking for outstanding mortgages, liens, or other legal encumbrances on the property.

🏠 Preparation of the transfer documents: The purchaser’s conveyancer prepares the necessary documents to transfer ownership of the property to the buyer.

🏠 Completion: The transfer documents are signed and exchanged, and the buyer pays the purchase price to the seller. The buyer's conveyancer also arranges for the payment of any taxes or fees that are due as a result of the sale.

🏠 Registration: The transfer documents are registered with the relevant land registry, and the buyer's name is added to the title deeds of the property.

Conveyancing is usually performed by specialist solicitors or licensed conveyancers, who are qualified to handle the legal aspects of property transactions.

🏘️ WHAT DETAILS SHOULD BE ON A CONTRACT OF SALE

Contract of sale – private sale of property

The contract of sale should state:

✔️ details of the property
✔️ your name and the seller’s name
✔️ details of the seller’s agent, if they are using one
✔️ details of yours and the seller’s legal practitioner or conveyancer, if any
✔️ the price you are offering
✔️ the required deposit amount
✔️ the balance of the purchase price owing at settlement
✔️ a settlement period you agree with
✔️ any conditions, such as subject to finance or a building inspection
✔️ items in the property that are part of the purchase. (There is a section for this in the contract of sale.) If these items are not listed in the contract and you sign it, it may be difficult to claim ownership of those items at settlement.

An agent can complete some of the details on a contract in preparation for you and the seller to sign.
