Before signing a commercial lease, read this!

A commercial lease is one of the most significant legal commitments a business can make. Unlike a residential lease, commercial leases are heavily negotiated documents that can lock your business into obligations for years. And unlike a residential tenant, you have far less legislative protection if something goes wrong.

Before you sign, you need to understand exactly what you are agreeing to. Rent increases, outgoings, permitted use clauses, make good obligations, and personal guarantees are just some of the terms that can have a serious financial impact on your business if they are not properly reviewed beforehand.

A lease that looks straightforward on the surface can carry significant obligations underneath. Get it reviewed before you commit.

WARNING! Most people only fix things after things go wrong…

There is a pattern we see regularly at Rossi Law. A business runs smoothly for months or years, contracts are signed, handshake deals are made, and legal documentation is pushed to the bottom of the to-do list. Then something goes wrong and suddenly getting the legal foundations right becomes urgent.

The problem is that by the time most businesses come to us in a reactive state, the options available to them are more limited and more expensive than they would have been had they acted earlier.

Legal protection is not something you put in place after a dispute arises. It is something you build into your business from the start so that when things go wrong, and at some point they always do, you have something solid to stand on.

If you have been putting off reviewing your contracts, agreements, or business structure, today is a good day to start.

You need this in writing!

A verbal agreement is still a legal agreement. But proving what was actually said, agreed to, and understood by both parties is another matter entirely.

Handshake deals and informal arrangements work fine until they don’t. When a dispute arises, the first thing any lawyer will ask for is the written agreement. If there isn’t one, you’re left relying on memory, text messages, and emails to piece together what was agreed. That is not a position you want to be in.

It doesn’t matter how well you know the other person or how straightforward the arrangement seems. If it’s important to your business, get it in writing.

Going into business with a friend feels easy at the start. You trust each other, you're aligned on the vision, and a formal agreement feels unnecessary. But business partnerships change over time and without a written agreement in place, even the strongest friendships can fracture under pressure.

A partnership agreement sets out how decisions are made, how profits are split, what happens if one person wants to leave, and how disputes are resolved. It is not about expecting things to go wrong. It is about protecting the relationship and the business if they do.

If you are going into business with someone you know, get it in writing before you start.

Most people miss this in agreements!

When people review a contract, they tend to focus on the obvious things. The price, the timeline, the deliverables. But the clauses that cause the most damage in a dispute are usually the ones nobody paid much attention to when signing.

Limitation of liability clauses, dispute resolution terms, termination provisions, and intellectual property ownership are some of the most commonly overlooked parts of an agreement. They seem like legal boilerplate until something goes wrong and suddenly they're the only thing that matters.

If you're signing agreements regularly in your business, it's worth having a legal professional walk through them with you at least once so you know exactly what you're agreeing to.

Don't miss what matters most.

Did you sign too quickly?

Signing fast feels efficient. But rushing through a contract without understanding what you’re agreeing to is one of the most common and costly mistakes in business.

Key terms, hidden obligations, and unfair clauses don’t disappear because you didn’t notice them. They show up later when things go wrong.

Before you sign anything significant, get a legal eye over it first.

Auto renewal unfair terms

Auto-renewal clauses are convenient for businesses but they’re now firmly on the ACCC’s radar. If your contracts automatically roll over without clear disclosure to the other party, you could be in breach of Australian Consumer Law.

It’s worth reviewing your contracts now rather than waiting for a complaint.

Don’t wait too long before T&Cs!

Most businesses sort their terms and conditions after something goes wrong. By then it’s too late.

Your T&Cs exist to protect your business before a dispute arises, not to fix one after the fact. The earlier you get them right, the less exposed you are as your business grows.

Get ahead of it. Speak with our team today.
