Federal Law No. 11 of 1992 regarding Civil Procedures Law will be repealed and replaced by Federal Decree Law No. 42 of 2022 (the “New CPL”), effective from 2 January 2023.

Traditionally, Arabic has been the language of court procedures in the UAE. As such, all submissions, memoranda, and exhibits had to be submitted in Arabic, or in the original foreign language, with an official Arabic translation prepared by a sworn legal translator.

According to the New CPL, the English language will be used for adjudications, litigation procedures, and judgements issued in certain judicial circuits as an exemption from general rule. In certain circuits within certain remits, it shall be at the discretion of the President of the Federal Judicial Council or the President of the Local Judiciary to set English as the language of proceedings.

Among new initiatives on a federal level, the New Civil Procedures Law is the most recent initiative that will allow the UAE to move towards a more independent and transparent judiciary that ranks highly internationally.

The Federal Decree-Law No (47) of 2022 on the Taxation of Corporations and Businesses provides the legislative basis for the introduction and implementation of a federal corporate tax in the UAE and is effective for financial years starting on or after June 1, 2023.

Cabinet Resolution No. (85) of 2022 Regarding Determining Tax Domicile, introduced new statutory requirements and conditions for natural and legal persons determining their tax residency in the UAE-effective 1 March 2023.

The UAE did not have a statutory definition of "tax residency." The Ministry of Finance, later replaced by the Federal Tax Authority (FTA), determined tax residency for natural and legal persons by issuing tax residency certificates (TRCs).

The domestic Tax Resident definition complies with international standards and provides clarity to individuals and legal entities as to their UAE tax residency status.

A natural person shall be considered a Tax Resident in the UAE where any of the following conditions are met:

- The individual’s usual or principal place of residence is in the UAE and the center of his financial and personal interests are in the UAE or the individual meets the other conditions prescribed by the Minister

- The individual has been physically present in the UAE for a period of 183 days or more in a 12-month period.

- The individual has been physically present in the UAE for a period of 90 days or more over a 12-month period and is a UAE citizen, UAE resident, or GCC national who either:
- Has a permanent place of residence in the UAE
- Carries out a job or business in the UAE

A legal person shall be considered a Tax Resident in the UAE in either of the following cases:
- It was incorporated, formed or recognised in accordance with the legislation in force in the UAE, and that does not include the branch that is registered by a foreign legal person in the UAE.

- It is considered a Tax Resident in accordance with the Tax Law in force in the UAE.

Clarifications and directives would be issued by the FTA concerning implementation of the new tax residency test, as well as issuance of TRCs according to the new test.

In his capacity as Ruler of Abu Dhabi, President His Highness Sheikh Khalifa bin Zayed Al Nahyan has issued a new family business ownership governance law that further strengthens the sector’s contribution to the economy and facilitates the transition to successive generations.

The new law aims to further enhance the family-owned business legislative ecosystem by adopting a more flexible and sustainable economic model, in line with best international governance practices. The law also aims to boost family businesses’ contribution to the diversification and growth of the economy.

Key takeaways:
- Prevent selling of shares or dividends to individuals or companies outside the family.

- To require prior approval from family partners before a shareholder sells their respective equity stake to a non-family member.

- Owners of family businesses can also issue family-owned shares with weighted voting rights and prevent the pledging of family-owned businesses as encumbered assets, to avoid expropriation.

- The current law is not applicable to family-owned businesses where non-family members own more than 40 per cent of shares.
