• The Incorporation Documents: The official CIPC CoR 14.3 (Registration Certificate) and the approved MOI (Memorandum of Incorporation).

• The Securities Register (Share Register): A statutory document recording who holds shares and when they were issued.

Can Family Conflict Kibosh a Trust?
When a trust's founder dies, families often assume that whatever they said they wanted will be honoured, even if the trust deed was never changed to reflect it.

A recent Supreme Court of Appeal decision confirms that this is not how trusts work. What governs a trust after the founder's death is the trust deed itself, not the wishes they expressed at family meetings in their final years.

Starting a business is exciting, but registering your company is only the beginning.

While we do the heavy lifting, there are a few things that only the business owner or directors can execute due to F**A and banking laws:

1. Open the Business Bank Account: The directors must take their original IDs, proof of address, and the CIPC documents to the bank to open the account.

2. Pay for the Shares: The shareholders must actually transfer the money for their shares (even if it is just R100) into the new business bank account to make the shareholding legally binding.

3. B-BBEE Affidavit (if applicable): If the company is an Exempted Micro Enterprise (EME) earning under R10 million a year, the owner must sign a B-BBEE affidavit in front of a Commissioner of Oaths. (We can prepare the correct template, but the owner must sign it in person).

4. Appoint an Accountant/Bookkeeper: The owner needs to hand the completed compliance pack over to their financial team to start recording day-to-day transactions.
