This peer designation is awarded only to a select number of accomplished attorneys in each state. The Rising Stars selection process takes into account peer recognition, professional achievement in legal practice, and other cogent factors. While up to five percent of the lawyers in the state are named to Super Lawyers, no more than 2.5 percent are named to the Rising Stars list. To be selected as a Rising Star, a candidate must be either 40 years old or younger or in practice for 10 years or less.

Strategic alliance agreements are sometimes called joint venture agreements or alliance agreements. Instead of forming a new joint entity like an LLC, two independent companies will enter into an agreement to bid on and work collaboratively on a project or series of projects.

When working with another company or contractor, you don't have to give up equity. By entering into a strategic alliance agreement, you can potentially make a stronger pitch to a potential client and deliver your services in a more efficient manner.

Employee handbooks are long, and they generally become longer and more complicated the more you have employees in multiple jurisdictions. Sometimes you need to draft a supplemental policy for each state in which you have an employee.

❗️Remember that legal (and other admin) fees go up if you hire employees in another state or if your employee moves to another state (or country).

In business, negotiating is normal, especially if and when you begin working with larger clients who have their own legal counsel. Their lawyers are doing their job in advocating for their client just like we do for ours. If a client has comments on your contract, it does not mean that:

❌ the client is pushy

❌ the client is demanding

❌ the client is difficult

In fact, a well negotiated contract is favored by courts since it shows that all parties intended to be bound by the agreement. No one party can then argue that they hadn’t read the agreement. 💫

Jacob and I are hard at work these days. Jacob is drafting a second amendment to a master services agreement, and I am working on an employee personnel policy (also known as an employee handbook).

We are also working on rebranding my firm since I am no longer working alone. We hope to launch the rebrand early next year. 🎄 ❄️ ⛄️

does it again! 😆 Today was the first day in a long time that my inbox wasn’t full in the morning. Then the afternoon emails came. 🤓

In other news, my firm is in the process of hiring a junior associate/corporate counsel. I have some great leads I am excited to interview. The question that guides every decision I make for my firm is “What is in the best interest of the clients?” If my firm can be more responsive with a shorter lead time by hiring another attorney, that is what we need to do.

This is not easy to follow, but it can save you a world of trouble. Even as lawyers, we don’t like to draft documents for ourselves. We are busy, and we also want to believe the best about people and believe that nothing bad will happen. And it’s true that 9 times out of 10, nothing bad happens. But when something does happen, the first thing everyone will turn to is the legal document.
