Due to the Corporate Transparency Act, starting Jan. 1, 2024, all companies which were created in the United States must complete a new form with the Treasury Department's Financial Crimes Enforcement Network (FinCEN) unless one of 23 exceptions applies. Most likely, none of those exceptions will apply to your business. The failure to file can cause civil penalties of up to $500 per day and, possibly, prison terms.

The Federal Trade Commission issued a final rule today banning all non-compete provisions for employees going forward and invalidating almost all current non-compete provisions for employees. If you have any questions about how this affects your business or your contracts, please contact me.
