We get foreign-owned brands verified on TikTok Shop US. There are a lot of steps.

Two of them decide whether the rest holds up.

One: your US Business Representative has to be locked in properly.

Wrong person, wrong setup, and verification stalls or the account carries a problem you inherit later.

Two: your structure has to be right before the revenue arrives.

TikTok Shop asks for a W-9.

A disregarded single-member LLC owned by a foreign person cannot certify one.

The choice is corporation or partnership. Both work.

Both have real trade-offs.

Which one fits depends on your treaty position, where inventory sits, and where the profit is supposed to land.

One thing I will say plainly.

The most common answer sellers bring us is that a partnership means no US tax, because the inventory sits with a third party.

The tax attorneys and CPAs we work with do not accept that as an analysis. It is a conclusion with no work behind it.

Whether US tax applies turns on the facts of the business, not on the entity type. That takes an actual review by someone who signs the return.

Q4 is your biggest quarter.

Whatever structure you are in when that revenue lands is the one it gets taxed under.

One person on your TikTok Shop account carries more weight than the rest.

Get this person wrong, and it is one of the hardest decisions to unwind later.

Most brands expanding to TikTok Shop U.S. ask us the same thing:

"Can you provide us a U.S. Representative?"

Fair question. It is just the second one.

The first one: "What am I actually handing this person?"

Because here is what most brands discover late.

Almost nobody expanding to the U.S. already has the right person standing there. No U.S. team.

No obvious candidate.

And the people close enough to ask are often the people you would rather not have inside your business.

That is normal. It is also the reason to understand the role before you start looking.

What this person actually holds:

Their identity is what TikTok verifies.

They certify the business information behind your account.

They are the authorized human acting for your business.

And they may need to be available again whenever TikTok orders re-verification.

TikTok calls them your U.S. Business Representative. During setup, the same role appears as your Primary Representative. Two labels, one person, a role far bigger than a name on a form.

What the role demands:

→ Who qualifies, and who quietly disqualifies themselves.

→ What that person certifies, and how long their accountability lasts.

→ How their history becomes part of your account's standing.

→ Why the right person, set up wrong, can trip a suspension in your first 90 days.

TikTok says this person can be anyone from your CEO to an entry-level employee. That is the requirement. It is not a standard.

Ours is that it should be a documented, authorized, compensated relationship. Not TikTok's published rule. Just what we have watched happen when the arrangement was a favor.

And notice what is missing from all of this: an end date.

One more thing brands get backward.

This is not a step you take after the entity work. The entity appoints the Representative.

Who can legitimately serve depends on your ownership, your W-9 status, and how account access is structured. It gets decided alongside the structure, before registration begins.

TikTok tightened verification to protect U.S. consumers, and a marketplace people trust is one where more people buy.

Most brands spend an afternoon on this decision and years living with it.

That sentence is the entire rejection message. No reason. No fix. Just a guess.

And it lands on brands who did everything right.

Correct U.S. entity. EIN. Clean documents. The same setup that has worked on Amazon for years. Then TikTok Shop sends this:

"Due to risk and safety concerns, we are unable to add you as a seller in the United States."

No document named. No field flagged. Just an Appeal button and a guess.

Most TikTok Shop verification failures are not a document problem.
They are an architectural problem.

The document gets rejected. That is the symptom.

The cause sits upstream:

→ Who registered the master Seller Center account
→ What email, phone, device, and IP created it
→ Whether the foreign UBO ever logged in
→ Whether the entity, EIN, and address tell one consistent story

Fix the rejected document.

The account fails the next review.

Rebuild the architecture from day one. The documents work.

This is what most advisors miss when they treat verification as an upload problem.

TikTok Shop flagged a foreign-owned brand that reached out to us about suspicious activity this week.

Here was the message...

"We've noticed suspicious or unusual activity between your shop and others. Additional information is required to verify your account."

What followed:

- Daily orders limited

- Shop visibility reduced

- Fund withdrawal suspended for 60 days

- 5 days to file an Appeal

- A more severe case we've seen: 365-day fund hold. Transactions prohibited. - Account deactivated when re-verification wasn't completed.

The shop had a U.S. Business Representative. That wasn't the problem.

The problem was that no one briefed the Rep on what to do after verification.

The Rep role doesn't end when your shop is approved. It includes:

- Annual identity re-verification (INFORM Act)

- Ongoing control of authentication, banking, and communication actions

- Clear boundaries on what the foreign owner can and cannot do.

Documentation that your foreign-owned D2C brand actually operates here, not just registered here.

Most seven-figure operators treat this notice as a paperwork problem.

It is not.

It is the first decision in a structural chain that determines:

Most only know about the first one.

The first is verification.

Wrong entity structure, mismatched documents, incorrect business type selection.

We see this every week, and it stops brands before they ever make a sale.

The second is quieter.

And more expensive.

The brands that do get verified, that have the LLC, the EIN, the U.S. Business Representative, the account running, and sales start flowing.

Many of them built a structure that is subject to US tax exposure, but they do not yet know it exists.

Single-member LLC. Disregarded entity. Seemed simple.

Made sense at formation.

Does not make sense once the US inventory enters the picture.
