Equine Law Spotlight: Know Your Rights When Selling a Horse in Texas

Thinking of selling a horse? Be careful - verbal agreements or handshake deals may not protect you if things go south.
Under Texas law, horse sales are governed by the Uniform Commercial Code, which means:
✅ A written bill of sale is strongly recommended.
✅ Disclosures about the horse’s health, soundness, and training history should be clear.
✅ Misrepresentation—even accidental—can lead to lawsuits for fraud, breach of contract or (if you are in the business of selling horses) violations of the Texas Deceptive Trade Practices Act ("DTPA").
✅ “As-is” language can help limit future claims, but it’s not a cure-all and is no protection from claims of violations of the DTPA.

I've seen it all: disputes over undisclosed conditions, trial periods gone wrong, and buyers who stop payment after pickup. If you're selling a horse, protect yourself before the reins change hands.

ANOTHER IMPORTANT UPDATE: Yesterday the 5th Circuit Court of Appeals granted a stay of the District Court's preliminary injunction enjoining the the Corporate Transparency Act (CTA). That means they have pulled a sneaky fast one and now the BOIR reports still have to be filed by Jan 1, 2025. Get your reports filed to avoid the huge daily penalties.

IMPORTANT UPDATE: Last week a federal judge in the 5th circuit declared the new Corporate Transparency Act (that required almost all companies to file a Beneficial Owner Information Report by January 1, 2024) unconstitutional and enjoined enforcement of it. So, unless and until this decision is overturned by the appellate court or Supreme Court, you do NOT have to file the BOIR reports which were to be due no later than January 1, 29025. IMPORTANT: A Texas federal judge has blocked enforcement of the recent FTC ban on noncompete agreements that was to take effect September 4, 2024 and that required notice to be given to all persons affected by a noncompete agreement that they are not enforceable.

What does this mean? It means that noncompete agreements are still enforeable FOR THE TIME BEING and you do NOT have to give notice to those who have signed a noncompete with you or your company - at lease for now.

FTC will certainly appeal, so stay tuned for updates to this important business issue.

Understanding the New Corporate Transparency Act

IMPORTANT UPDATE: Last week a federal judge in the 5th circuit declared this Act unconstitutional and enjoined enforcement of it. So, unless and until this decision is overturned by the appellate court or Supreme Court, you do NOT have to file the BOIR reports which were to be due no later than January 1, 29025.

What is the Corporate Transparency Act?

The Corporate Transparency Act (CTA) is a significant new law aimed at preventing illegal activities like money laundering, tax evasion, and terrorist financing. It does this by requiring certain companies to report information about their beneficial owners to the Financial Crimes Enforcement Network (FinCEN), a bureau of the U.S. Department of the Treasury.

Who Needs to Comply?

Most small and medium-sized businesses in the U.S. will need to comply with the CTA. This includes corporations, limited liability companies (LLCs), and other similar entities that were formed by filing with a state’s Secretary of State. However, there are some exceptions, including:

– Large companies with over 20 full-time employees and more than $5 million in annual revenue.

– Companies already regulated by federal agencies, like banks, credit unions, securities brokers, and insurance companies.

– Inactive Entities: Companies that have been inactive for at least a year and meet specific criteria.

– Tax exempt companies, like 501(c) organizations.

What Information Must Be Reported?

Businesses covered by the CTA must provide the following details about their beneficial owners (individuals who own or control at least 25% of the company):

– Full legal name

– Date of birth

– Residential or business address

– A unique identifying number from an acceptable identification document (e.g., driver’s license or passport) and a copy of that identification document

When to Report

Existing businesses will need to report this information by January 1, 2025. New businesses will need to report their beneficial owners (and the identities of the persons filing to set up the business) at the time of formation.

Why is This Important?

Non-compliance with the CTA can lead to severe penalties, including:

– Civil Penalties: Fines up to $500 per day for each day the violation continues.

– Criminal Penalties: Imprisonment for up to two years and fines up to $10,000.

Your Next Steps

1. Identify Beneficial Owners: Determine who meets the criteria of a beneficial owner in your company.

2. Gather Required Information: Collect the necessary details about each beneficial owner.

3. File the Required Report: You can do this yourself or have it done for you by your attorney, your accountant or a company that specializes in filing such reports.

CTA Constitutionality Being Challenged in Court

In March, 2024, a federal district court in the Northern District of Alabama declared the CTA unconstitutional and the FinCEN has appealed. Despite this judicial declaration, the FenCEN is continuing to enforce the CTA, so all filing deadlines and potential penalties for non-compliance are still in effect at this time.

August 27, 2024 NEW Urgent Update: New FTC Rule on Non-Compete Agreements: A Texas Federal Judge has blocked enforcement of the FTC's noncompete ban. What this means for you: You do NOT have to notify affected parties and the noncompetes are still in effect, BUT FTC will likely appeal, so stay tuned for more updates on this important issue!

On April 23, 2024, the Federal Trade Commission adopted a new national federal rule that will go into effect on August 23, 2024 banning non-compete agreements for most workers, including employees and contractors. The only exceptions will be for senior executives with agreements predating the rule and in business sale contexts.

This rule will supersede all conflicting state laws, rendering otherwise compliant agreements unenforceable. The rule will also require that Employers notify all affected workers that their non-competes will not be enforced unless exempted.

There have already been several legal challenges filed against this rule - including one filed by the State of Texas. I will keep you informed whether a federal court halts implementation of this rule. If they do not, you will need to review your non-compete agreements and prepare to adjust your policies accordingly.
