Do You Have Written Agreements with Partners or Vendors? Read👇

Many business relationships begin with trust, verbal discussions, or informal understandings. However, when expectations are not clearly documented, misunderstandings can arise.

A written agreement helps to:

• Clearly define roles and responsibilities
• Set out payment terms and timelines
• Allocate risk and liability
• Provide a reference point in the event of a dispute

Under Section 4 of the Statute of Frauds 1677, certain types of agreements are required to be in writing to be enforceable.

While oral agreements may sometimes be valid, proving their exact terms can be difficult.

Proper documentation does not indicate distrust, it reflects professionalism and foresight. Clarity today helps prevent conflict tomorrow.

You can be 100% right and still lose, Here’s why…👇

Being right is not the same as proving you are right.

Many people walk into disputes confident that the truth is enough.

It isn’t.

In law, what matters is not only what happened but what can be proven.

• Do you have documentation?
• Is there written evidence?
• Are there witnesses?
• Was the agreement properly executed?

Good intentions do not replace evidence.
Emotions do not replace documentation.

The law works with proof, not assumptions.

Friday Legal Tip (Part 2): When a Signature May NOT Bind You ⚖️👇

In our previous post, we explained that once you sign a document, the law generally binds you to its terms.

However, there are important exceptions.

There are situations where a signature may not be legally binding, especially where the signature was not given freely, knowingly, or honestly.

Some key exceptions include:

1. Fraud
If a person is deceived into signing a document through fraud or lies, the law may not hold them bound by it.

2. Misrepresentation
Where false information was given to induce someone to sign the document, the agreement may be set aside.
This was illustrated in Curtis v. Chemical Cleaning and Dyeing Co. Ltd, where the court held that a party was not bound by terms misrepresented to her before signing.

3. Duress or Threat
If a person signs under pressure, threats, or intimidation, such a signature may not be valid.

4. Undue Influence
Where someone in a position of power or trust improperly influences another person to sign, the law may intervene.

5. Non Est Factum (Mistake as to the nature of the document)
This applies where a person signs a document fundamentally different from what they believed they were signing.

Nigerian courts have also affirmed this principle. In Mrs. Vivien Folayemi Asana v. First Bank of Nigeria Limited, the court emphasized that for a document to be binding, the consent of the party must be genuine and not obtained improperly.

The Supreme Court of Nigeria and other courts have consistently maintained that a binding contract must be entered into freely, voluntarily, and with full understanding.

📌 A signature is powerful but it must be genuine, informed, and voluntary.

This is why it is always advisable to:
• Read before signing
• Seek clarification
• Consult a lawyer where necessary

Did You Know?
Not Every Property Document Automatically Confers Ownership…

Many people assume that once a document is presented, ownership of land is settled.
That is not always the case.

Under Nigerian law, ownership of land is established not just by documents, but by valid TITLE.
The courts have consistently held that documents alone are not conclusive proof of ownership unless they are backed by a good root of title.

In Idundun V. Okumagba, the Supreme Court outlined the recognized ways of proving ownership of land, including:
• Traditional evidence
• Documents of title
• Acts of ownership and possession
• Long possession
• Possession of connected or adjacent land

Similarly, the principle of nemo dat quod non habet applies, “you cannot give what you do not have”.
This was reinforced in cases such as Ogunleye V. Oni

In addition, by virtue of section 22 of the Land Use Act, certain property transactions require the consent of the Governor, failing which the transaction may be rendered defective.

Proper due diligence and title verification are essential before entering into any property transaction.

Did You Know? Your Landlord Cannot Force You Out of a House…

Many people believe that once rent expires, a landlord can simply lock a tenant out or force them to leave.
That is not the law.

Under Nigerian law, a landlord cannot take the law into their own hands by:
• Locking the tenant out
• Breaking doors
• Removing personal belongings
• Using threats or force;
even where rent is owed.

The law requires a landlord to go through the Recovery of Premises process in court.
This is the only legal way to recover possession.

Courts have consistently stated that self help eviction is illegal.
A landlord who uses force is acting wrongfully, regardless of the circumstances.

📌 For landlords:
Acting within the law helps avoid unnecessary legal consequences.

This position of the law has been affirmed in cases such as
Reg. Trustees of Mission V. All States Trust Bank Plc.

Situations involving eviction can be confusing for both landlords and tenants.
Understanding the law before taking action helps prevent avoidable disputes and legal consequences.
