The major question for start-up to consider before choosing a business structure is whether to register it as a Business name or LTD. The differences are in their characteristics

If the intention is to run a one-man business where everything revolves around you without a share-base structure, making decisions, bearing all the risk personally and reaping all the profits alone then the best option is to go for a business name.

A business name however does not confer a separate entity like a Company Limited by shares would do. With your Business name you cannot sue or be sued because it lacks the legal personality to do so.

Only a company limited by shares enjoys that distinct legal personality from the founders, unlike business name. If you want your business to have a separate legal personality from you then it must be registered as a Company Limited by Shares.

Upon registration it enjoys a separate distinct personality this confers on him the ability to sue and be sued in its name.
If you want your company to be share based, then the best option is to register it as a company limited by shares.

The good news is that the new CAMA has introduced a single member company, the Acts now provides that an individual may now form and incorporate a private company limited by shares.
