"Building a business without a strong legal foundation is like constructing a house on sand; when the economic winds and commercial storms eventually blow, everything collapses, whereas a solid legal structure acts as your bedrock, protecting your hard work, securing your assets, and letting your enterprise stand tall for generations."

CORPORATE DUE DILIGENCE: What Every Investor Should Know 🔍⚖️

Before you put your money into a business, don't just look at the opportunity. Look at the business behind it.

Due diligence means investigating before you invest. It helps you find out who owns the company, its financial health, what it owns and owes, and whether there are any legal or regulatory issues.

What to check:

1. Verify the company. Don't rely only on what the promoters tell you. Check its registration, corporate records, directors, shareholders, ownership of key assets, and regulatory compliance.

2. Follow the money. 💰 Look beyond impressive projections. Review its financial statements, revenue and expenses, debts and liabilities, cash flow, and assets. A business can look successful and still have serious financial problems.

3. Look for legal red flags. ⚠️ Find out if there are pending lawsuits, tax or regulatory liabilities, ownership disputes, problematic contracts, or other obligations that could affect your investment.

The bottom line: Before investing, understand the company, its financial position, its legal standing, the exact investment terms, and your rights and exit options.

Due diligence doesn't eliminate risk. It helps you identify and manage it.

Before you invest, investigate.

When the Mask Falls Off: Can Creditors Sue You Personally for Your Company’s Debts? 🏢⚖️

When you register a Limited Liability Company, you get a powerful legal shield known as the "Corporate Veil." It stands between you and your business, ensuring that if the company gets into trouble, your personal house, car, and savings remain untouched.

But is that shield completely bulletproof? What happens when a business owner crosses the line?

To understand how Nigerian law handles this, we can look at a vital lesson from our courts on lifting the corporate veil.

The Real-Life Nigerian Lesson: Alade v. Alic (Nig.) Ltd.

While the idea of separate legal personality is standard, Nigerian courts have consistently shown that the law will not allow anyone to use a company certificate as a mask for wrongdoing.

In classic Nigerian corporate cases (such as Alade v. Alic (Nig.) Ltd. and similar landmark decisions), our courts have firmly established that if you use your company to commit fraud, evade legal duties, or act as a mere puppet for personal trickery, the court will "lift" (or pierce) the corporate veil.

What does lifting the veil mean in plain English?
It means the judge looks straight past the company's registration certificate, tears down the legal wall, and points directly at you. The personal liability that was supposed to stay with the company is suddenly dumped right on your shoulders, making you pay out of your personal pocket.

What This Means for Everyday Business Owners 🇳🇬

Under Nigerian corporate law (governed by CAMA 2020), you cannot hide behind your company name if you are running it dishonestly. The courts will strip away your protection if:

1. Fraud is Involved: The company was set up or used specifically to cheat people or carry out fraud.
2. You Mix Everything Together: You treat company funds like your personal pocket money, failing to run it like an independent business.
