Tenancy matters:

Most tenants think that, because they are yearly tenants, they are entitled to six months notice to quit after the expiration of their rent. However, this is not the case.
Yes, you are entitled to six months notice to quit as a yearly tenant, but the notice can be served on you 6 months into your rent.

Let’s say you pay for one year rent to run from 1st January to 31 December, the lawyer decides to serve you notice to quit on 1st July. From the day you received the notice to quit until the expiration of your rent is 6months. He has served you six months notice to quit. Once your rent expires on the 31st December, you are entitled to just seven days notice of owners intention to apply to court to recover possession.

What is your status once your rent expires?

Once your rent expires and you refuse to renew the tenancy, you become a tenant at will. As a tenant at will, you can be evicted at anytime with just 7 day notice.

Note: if you decide to pay rent for one month, you become monthly tenant.

If your tenancy expires or is determined by a valid notice to quit but you keep occupying the premises, you will pay mesne profit. Mesne profit is the accumulation of the rent of the place until you hand possession.

Handing possession means that you have transferred the property back to the landlord and to hand possession is to give the key to the landlord. However, if you just leave the place without handing over possession, it is assumed that you are still in possession and the mesne profit will keep accumulating.

Are you a landlord?

Avoid forcefully locking your tenant’s house and withholding the key. The tenant can go to the police and report that his 10 million dollars disappeared and you will either pay or go to jail for stealing or spend your money in court case.

Avoid using the police to eject your tenants forcefully, unless the court gives judgement and you use the sheriffs and authorized police officers to evict the tenant. Other than that, you may have to forget about your money and even pay the tenant on top. The law greatly frown against self help.

Have plans to run a business in Nigeria or already own a business in Nigeria?

Well, most people don’t know that it is illegal to run a business without registration. To register business in Nigeria is not as cumbersome as people think and there is no special requirement.

-As a foreigner, you can register and run your company or you can be a shareholder or a director in an already existing company / business. You don’t need to reside in Nigeria as a foreigner to register your company in Nigeria.

-A minor cannot be a director but a minor can be a shareholder if there are two adult shareholders.
-One person can be both Director, shareholder and secretary.

Congratulations, you have successfully registered your business/Company but don’t just relax, make sure you always pay your annual returns. Most people confuse annual returns with Tax. While annual returns is paid to the Corporate affairs commission years, tax is paid to FIRS. As a registered business/company/ Association, whether you have carried on business or not, you must be upto date with your annual returns, else, it will keep accumulating, it will remain INACTIVE and at a point, CAC will strike it out as if it never existed.

For those that want to Japa with their company, trust me, the embassy will check if the company is Inactive or Inactive. If you also want to make any changes such as change of Director, shareholder, proprietor, secretary etc, your business/company/association(IT) must be active on the CAC portal.

How will you know if it is active or not?

Just navigate to cac portal,
Click on public search and input the name of your company or Business or Association(IT). If it inactive, it will be written boldly in red. If it is active, it will be written boldly in Green.

Registering your business/ companies is not the only thing, you need to be dutiful in filing your annual returns. The more you leave it, the more it accumulates. Annual Returns is mandatory.

-Perpetual Succession
-Separate Legal entity from partners
-Minimum is 2Directors
- Any partner may cease to be designated partner in accordance to partnership agreement
-Partnership agreement is required for incorporation. ( either the partners create their agreement or adopt default agreement)
-Individual who desires to be a designated partner shall give prior written consent.
-Partner shall not be liable for an act done by another partner.
- LLP is not bound by an act of a partner if such partner has no authority from the LLP to do such act and he know he has no authority.
-Continous usage of a dead partners name in LLP does not make the Representatives of the dead person or estate of the dead person liable.
-Partners share profits and liabilities
-All these must be reflected in the agreement.

Most people think that everything ends once they register their companies and business while other companies think that the only thing they need before they start bidding for federal contracts in Nigeria is CAC certificate.

Every company, business or IT registered with CAC must file their annual returns and failure to do so, such company or business will not do any post incorporation business with CAC. That is why must companies have “inactive” status in their CAC dashboard. Note that before you can operate a business or an IT in Nigeria, you must register that business with the Corporate Affairs Commision and if you have already registered, you must be up to date with your annual returns.
You cannot hide from it, the more you leave it, the more it accumulate.

For a company to start bidding for federal government contract in Nigeria, there are other licenses you need to obtain and not just your CAC certificate.
