Ministry of Commerce Notification to Importers

The Ministry of Commerce, Department of Trade, issued Notification No. 4/2025 on 31 December 2025. The directive stipulates that, effective from 1 January 2026, the validity period for import license and permit applications submitted by importers shall be limited to 180 days.

In accordance with this regulation, companies applying for licenses to import goods for trading purposes within the country are permitted to submit only one application per calendar month for a given product type. Within that month, only the single application submitted for the specified product type will be considered and approved.

Furthermore, any import license or permit application that remains pending beyond the 180-day validity period will be automatically canceled within the Myanmar Tradenet 2.0 system.

Importers are therefore strongly advised to remain attentive to these regulatory requirements and to ensure full compliance with the Ministry’s announcements concerning import license and permit applications.

Central Bank of Myanmar (“CBM”) issued Notification No. (2/2026), under which exporters are now required to convert only 15% of their export proceeds into Myanmar Kyat, reduced from the previous 25%, at the CBM prescribed reference exchange rate of MMK 2,100 per USD. 25 companies blacklisted by the Directorate of Investment and Company Administration (DICA) until the 2026–2027 financial year.
Decision based on reports from the Ministry of Foreign Affairs, Bureau of Special Investigation (“BSI”), and Internal Revenue Department (“IRD”) showing these companies were untraceable at their registered MyCO addresses.

Director and Shareholder Changes – DICA Requirements

Effective 8 January 2025, the Directorate of Investment and Company Administration (DICA) has introduced new submission requirements for changes in company directors and shareholders. This update is in line with Sections 83 and 189 of the Myanmar Companies Law 2017.

What’s Required:
• When registering share transfers (Form C-3):
• Board resolution approving the transfer
• Signed share transfer agreement (with stamp duty paid)
• When registering director changes (Form D-1):
• Copy of NRC or passport of the director
• Shareholders’ resolution regarding the change
• Consent letter for appointment
• Resignation letter for resignation
All supporting documents must be submitted via email to: [email protected] or [email protected]
Failure to comply may result in:
• Rejection of the submission
• Delays in registration
• Fines under the Myanmar Companies Law 2017

The purpose of this requirement is to prevent disputes and ensure smoother resolution processes when changes occur.
