Companies (Appointment and Qualification of Directors) fourth Amendment Rules, 2018.
DIR-3-KYC
Director Identification Number (DIN) allotted as on 31st March of a financial year
Submit e-form DIR-3-KYC on or before 30th April of immediate next financial year.
FOR CURRENT FY (DIN ALLOTED AS AT 31ST MARCH 2018):
Submit E­form DIR-3 KYC on or before 31st August, 2018
PRECERTIFICATION : BY CA/CS/CMA

PASSPORT DETAIL: In case of Indian nationals, Passport if not Mandatory, in case of foreign nationals Passport is Mandatory
FEE STRUCTURE

Fee payable till the 30th April of every financial year in respect of e-form DIR-3 KYC as at the 31st March of immediate previous year. NIL
Fee payable (in delayed case) ₹5000

NOTE:
• Due date for filing Dir-3- KYC for current year is 31st august, 2018
• For the current financial (2018-2019), no fee shall be chargeable till the 31st August, 2018 and fee of Rs.5000 shall be payable on or after the 1st September, 2018"

Most important changes in SECRETERIAL STANDARD
1.Board report must include compliance of SS:-
I.e whether the company has complied with the ss issued by ICSI.
2. Penalty as per section 118(10),(11)
3. Shorter notice GM:if 95% consent atleast three days gap and for convening same day 100% consent of shareholder is mandatory.

Section 453 Punishment for improper use of “Limited” or “Private Limited”.

If any person or persons trade or carry on business under any name or title, of which the word “Limited” or the words “Private Limited” or any contraction or imitation thereof is or are the last word or words, that person or each of those persons shall, unless duly incorporated with limited liability, or unless duly incorporated as a private company with limited liability, as the case may be, punishable with fine which shall not be less than five hundred rupees but may extend to two thousand rupees for every day for which that name or title has been used.
