3 questions before I draft any agreement.

Who’s the counterparty, company, government, or startup? What’s their track record?

What’s the deal, acquisition, financing, something else? What are we actually trying to achieve?

And most importantly, what are the risks? Counterparty risk, industry risk, everything that could go wrong.

Then I take a piece of paper. One side: everything we want to achieve. The other: everything we want to avoid.

That’s how you see clarity in something complex, not by rushing in, but by looking at it from every angle first.

Leaving an agreement can cost you more than signing it. 😬

Nobody negotiates the exit, everyone’s too busy being excited about the start. So the ending gets written at the back of the document, by them.

Most founders sign a guarantee thinking of it as a formality.
It isn’t. It means your personal assets, your savings, your property, sometimes your name on other deals, are exposed the moment the company can’t pay.

The part most founders miss: a guarantee is negotiable.

• Cap it — limit it to a specific amount, not the full facility.
• Time-limit it — tie it to a term, not an open-ended commitment.
• If you’re the only guarantor, ask why. Shared risk should mean shared guarantees.

Read every guarantee like it’s the only clause that matters. Because when things go wrong, it usually is.
